Texavio is a technology provider, not a financial institution. No financial services licence is required to use this platform.

1. Nature of Service

Texavio — a product from Antier Solutions FZCO (“Texavio”) provides wallet infrastructure software — including REST APIs, SDKs, and MPC key management tooling — to business clients (“Client”). Texavio is a technology provider only.

Texavio is not a financial institution, money services business, money transmitter, payment processor, or asset custodian. No financial services licence is required for, or conferred by, access to or use of the Texavio platform.

2. Non-Custodial Architecture

Texavio uses a Multi-Party Computation (MPC) threshold key management design. Under this architecture:

  • No complete private key is ever held, reconstructed, or accessible by Texavio.
  • Texavio cannot unilaterally access, freeze, transfer, or recover user assets.
  • The Client is solely responsible for their end-users' access management, credential custody, and recovery procedures.

3. Client Responsibilities

The Client is responsible for ensuring that their product and operations comply with all applicable laws in every jurisdiction in which they operate, including but not limited to:

  • Anti-money laundering (AML) regulations
  • Know-your-customer (KYC) requirements
  • Sanctions screening obligations
  • Applicable securities, payments, and financial services licensing requirements

Texavio provides infrastructure only. The regulatory compliance of the Client's product and the conduct of the Client's end-users is the sole responsibility of the Client.

4. Acceptable Use

The Client must not use the Texavio platform:

  • To provide services to sanctioned individuals, entities, or jurisdictions.
  • In connection with illicit finance, money laundering, terrorist financing, or fraud.
  • In jurisdictions where the Client's product is prohibited by applicable law.
  • Without implementing appropriate AML/KYC controls for the Client's own end-users.

Texavio reserves the right to suspend access immediately where prohibited use is identified or credibly alleged.

5. Liability

To the maximum extent permitted by applicable law, Texavio's total aggregate liability arising out of or in connection with these Terms is limited to the total fees paid by the Client to Texavio in the twelve (12) months immediately preceding the claim.

Texavio is not liable for any loss of user funds arising from:

  • Client misconfiguration of the platform or its API integrations.
  • Key management decisions made by the Client or their end-users.
  • Blockchain network failures, forks, or protocol-level incidents.
  • Third-party services not operated by Texavio.

6. Intellectual Property

The Texavio platform, APIs, SDKs, and associated documentation are licensed to the Client, not sold. All intellectual property rights in the platform remain with Texavio.

The Client retains full ownership of any application, product, or service they build on top of Texavio's API. No licence or ownership of Texavio's underlying technology is transferred by these Terms.

7. Service Availability

Texavio targets a 99.9% uptime SLA for the managed cloud tier. Specific SLA commitments, including credits for downtime, are defined per contract and form part of the Order Form or Master Services Agreement. On-premise and hybrid deployments are subject to separate SLA terms as agreed in writing.

8. Termination

Either party may terminate the agreement by giving 30 days' written notice to the other party.

Upon termination, a data export window will be provided to the Client to retrieve their data and configuration. After the export window closes, Texavio will securely delete Client data in accordance with its data retention policy.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be resolved by binding arbitration in [City], India, in accordance with the Arbitration and Conciliation Act, 1996.
